## 1. Agreement
These Terms govern your use of learninvestmanage.com and the tools, calculators,
content, and services offered through it (the "Platform"), operated by Learn
Invest Manage ("LIM", "we", "us").
By creating an account or using the Platform, you agree to these Terms. If you
do not agree, do not use the Platform.

## 2. Not advice — please read carefully
**The Platform is for informational and educational purposes only.**
Nothing on the Platform — including our calculators, underwriting tools, market
commentary, podcast, newsletter, or any other content — constitutes:
- Investment advice or a recommendation to buy, sell, or hold any security or
property
- An offer or solicitation to buy or sell any security
- Financial, legal, tax, accounting, mortgage, or real estate advice
- An appraisal or opinion of value for any purpose
Our calculators produce results based entirely on the assumptions and figures
**you** enter. They are modelling tools, not valuations. Outputs are only as
reliable as the inputs and assumptions behind them, and real-world outcomes
routinely differ from projections.
**You are solely responsible for your investment decisions.** Conduct your own
due diligence and consult qualified professionals — a lawyer, accountant,
mortgage professional, appraiser, and licensed advisor as appropriate — before
making any investment, financing, or real estate decision.

## 3. Disclosure of our interests
LIM is operated by individuals who are active participants in the Ontario real
estate market. They may hold licences, registrations, ownership interests, or
business relationships including as licensed real estate brokers, registered
dealing representatives, mortgage professionals, property managers, and
principals of real estate investment and management businesses.
The operators may have financial or business interests in properties,
transactions, entities, or programs discussed on the Platform, and may act as
principal or agent in real estate transactions. Content on the Platform should
be evaluated with these relationships in mind.
Specific disclosures accompany our podcast and published content.
Nothing on the Platform creates an agency, brokerage, advisory, fiduciary, or
client relationship between you and LIM or its operators. Any such relationship
would require a separate written agreement.

## 4. Your account
To use certain features you must create an account. You agree to:
- Provide accurate and current information
- Keep your login credentials secure
- Be responsible for all activity under your account
- Notify us promptly of any unauthorized use
We may suspend or terminate accounts that breach these Terms, or where we
reasonably believe the Platform is being misused.

## 5. Your content and data
You retain ownership of the information you enter into our tools.
By using the Platform you grant us a licence to store, process, and display that
information in order to provide the service to you, and to use it in
**aggregated, de-identified form** as described in our Privacy Policy.
You represent that you have the right to enter any information you submit, and
that doing so does not breach any confidentiality obligation, licence
agreement, or third-party right — including the terms of any real estate board,
listing service, or data provider you obtained information from.

## 6. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose
- Scrape, harvest, or systematically extract data from the Platform
- Reverse engineer, decompile, or attempt to derive our source code
- Resell, sublicense, or commercially redistribute our tools or content without
written permission
- Upload malicious code or attempt to interfere with the Platform's operation
- Attempt to gain unauthorized access to any part of the Platform or another
user's account
- Submit information you are not permitted to disclose
- Use the Platform to harass, defame, or harm any person

## 7. Our content
All content on the Platform — text, tools, calculators, methodologies, designs,
logos, podcast episodes, and written material — is owned by LIM or its licensors
and protected by copyright and other intellectual property laws.
You may use it for your own personal or internal business purposes. You may not
republish, redistribute, or create derivative works from it without our written
permission.

## 8. Third-party content and links
The Platform may reference or link to third-party content, data, and websites.
We do not control and are not responsible for third-party content, and a
reference is not an endorsement.
Market data, statistics, and information drawn from third-party sources are
provided as-is. We do not guarantee their accuracy, completeness, or currency.

## 9. Availability
We provide the Platform on an "as is" and "as available" basis. We do not
guarantee it will be uninterrupted, error-free, or available at any particular
time.
We may modify, suspend, or discontinue any part of the Platform at any time.
Where a change materially affects account holders, we will give reasonable
notice.

## 10. Disclaimer of warranties
To the fullest extent permitted by law, we disclaim all warranties, express or
implied, including warranties of merchantability, fitness for a particular
purpose, accuracy, and non-infringement.
We do not warrant that any calculation, projection, or output produced by the
Platform is accurate, complete, or suitable for any purpose.

## 11. Limitation of liability
To the fullest extent permitted by law, LIM and its operators, officers,
employees, and affiliates are not liable for any indirect, incidental, special,
consequential, exemplary, or punitive damages, or for any loss of profits,
revenue, data, business opportunity, or investment losses, arising from or
related to your use of the Platform — whether based in contract, tort, or any
other legal theory, and whether or not we were advised of the possibility.
Our total aggregate liability arising from or related to the Platform will not
exceed the greater of the amount you paid us in the twelve months preceding the
claim, or one hundred Canadian dollars (CAD $100).
Nothing in these Terms limits liability that cannot be limited under applicable
law.

## 12. Indemnity
You agree to indemnify and hold harmless LIM and its operators from any claim,
loss, liability, or expense (including reasonable legal fees) arising from your
use of the Platform, your breach of these Terms, or your violation of any law or
third-party right.

## 13. Termination
You may close your account at any time by contacting us.
We may suspend or terminate your access at any time if you breach these Terms or
if we reasonably believe continued access poses a risk.
Sections 2, 3, 5, 7, 10, 11, 12, and 15 survive termination.

## 14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version
here and change the "Last updated" date. Material changes will be notified to
account holders. Continuing to use the Platform after a change means you accept
the updated Terms.

## 15. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal
laws of Canada applicable there. You agree to the exclusive jurisdiction of the
courts of Ontario.
